These Terms and Conditions (“Terms”) govern the relationship between the platform and services provider Nortte Oy (“Company”, “we”, “us”) and the user (“User”, “you”) regarding the use of the Target Marketing Platform (marketertarget.com and subdomains) and the purchase of digital services, subscriptions, or pre-order tiers.

By purchasing our services or creating an account, you agree to be bound by these Terms.

Nature of Service: This is a SaaS marketing platform currently in its development/launch phase. The service is provided “as-is,” and full uptime or functionality guarantees do not apply before the official production launch.
Pre-orders (Early Bird): By purchasing early, you lock in a specific price and subscription period. The subscription time only begins to run once you redeem the license after the platform is ready.
Right of Withdrawal & Refunds: You have a statutory 14-day right of withdrawal only if the delivery of the service has not yet commenced. Delivery is considered to have started (and the refund right expires) immediately if you:
1. Join any private community channels (e.g., Discord/Slack).
2. Participate in feature or development voting.
3. Log into the platform dashboard once it is made available.
Intellectual Property: All rights to the code, design, and brand belong to Nortte Oy. Any feedback or ideas you provide during the development phase are granted to the company for commercial use without separate compensation.
User Responsibilities: Sharing account credentials, attempting to reverse-engineer the code, and unprofessional conduct in community channels are strictly prohibited and will result in loss of access.
Limitation of Liability: Nortte Oy’s total liability is capped at the amount you have paid during the last 6 months. We are not responsible for issues or changes caused by third-party providers (e.g., Meta, Google, or Stripe).
Right to Modify: Nortte Oy reserves the right to adjust prices (with 30 days’ notice) and update terms (with 14 days’ notice). Continued use of the platform constitutes acceptance of the new terms.

1. Services and Subscriptions

Target Marketing Platform provides digital marketing management tools and community access.

Access: Access to the platform is provided on a subscription or pre-sale basis.
Beta/Development Stage: The User acknowledges that the platform may be in a beta or development stage. Uptime guarantees and full functionality do not apply before the official production launch.
Cancellations: Standard monthly or yearly subscriptions can be canceled at any time via account settings. Access remains active until the end of the current paid billing cycle.
Modifications: We reserve the right to update platform features, user interface, and functionalities to improve the service or adapt to market changes.

2. Early Bird and Pre-Order License Terms

The following terms apply specifically to the Networking Pass, The First Class Aim, Founding Member, and Target Legacy tiers:

Nature of Purchase: These tiers represent the pre-sale of platform licenses. By purchasing, you are securing long-term access to the platform at a discounted rate. Note: Specific long-term license duration benefits do not apply to the Networking Pass tier unless explicitly stated in the product description.
Price Lock: Pre-order members are guaranteed the specified subscription period at the initial purchase price, regardless of future price increases for new members.
Subscription Redemption: The license duration (e.g., 6, 12, or 30 months) begins only when the User redeems activation through support or the platform’s activation tool.
Refund Policy: Pre-order purchases are subject to a 14-day statutory return policy, provided the service has not yet been delivered or commenced. Once the service is considered delivered (as defined in Section 4.1), the sale is final and non-refundable.

3. Intellectual Property and Feedback

Ownership: All rights, title, and interest in and to the Target Marketing Platform (including but not limited to code, UI/UX design, logos, and documentation) are the exclusive property of Nortte Oy.
License: We grant you a limited, non-exclusive, non-transferable, and revocable license to use the platform for professional marketing management.
User Feedback: If you provide suggestions, feature ideas, or participate in voting (“Feedback”), you grant Nortte Oy an irrevocable, worldwide, royalty-free, and sub-licensable license to use, implement, and commercialize such Feedback without any restriction or compensation to you.

4. Platform Usage and Pre-Order Returns

4.1 Pre-Order Refund & Return Conditions

In accordance with the Finnish Consumer Protection Act regarding digital services, you have a 14-day right of withdrawal from the date of purchase. However, this right expires immediately once the service is considered “delivered” or “commenced” at your request.

For Pre-order tiers, the service is considered delivered (and the refund right is waived) if you perform any of the following actions:

Private Community Access: You accept an invitation to, or join, any private community channels (e.g., Google, Discord, Slack, or Telegram).
Feature Voting: You participate in any “Early Bird” or development votes regarding upcoming platform features or priorities.
Platform Access: You log into the Target Marketing Platform dashboard once it is made available to you.

4.2 General Usage Terms

Account Security: You are responsible for all activity under your credentials. Sharing accounts or licenses with non-authorized third parties is strictly prohibited.
Data Accuracy: You agree to provide accurate billing and contact information. Failure to do so may result in service suspension.

5. Confidentiality

As an Early Bird or pre-order member, you may gain access to non-public information regarding platform features, roadmaps, and business strategies. You agree to keep all such information confidential and shall not disclose it to any third party or competitor without prior written consent from Nortte Oy.

6. Payments, Pricing, and Default

Billing: All payments are processed via Stripe. We do not store credit card information on our servers.
Failed Payments: If a subscription payment fails, we reserve the right to suspend access immediately until the balance is cleared.
Interest: In B2B transactions, we reserve the right to charge late payment interest in accordance with the Finnish Interest Act (korkolaki).
Price Adjustments: Nortte Oy reserves the right to change subscription fees. We will notify Users of any price changes at least thirty (30) days in advance via email. For Early Bird members, the “Price Lock” mentioned in Section 2 remains valid as specified in their purchase tier. Your continued use of the service after a price change takes effect constitutes agreement to the new fee.

7. Prohibited Activities

The following actions will result in immediate termination of access without a refund:

Reverse Engineering: Attempting to copy, modify, or decompile the platform’s source code.
Unauthorized Sharing: Sharing your professional license or community access with others.
Automated Scraping: Using bots, spiders, or scrapers to extract data from the platform.
Misconduct: Unprofessional behavior, harassment, or direct promotion of competitors within private community channels.

8. Limitation of Liability

8.1 No Warranties (“As-Is”): The platform is provided on an “as-is” basis. To the maximum extent permitted by Finnish law, Nortte Oy disclaims all warranties, express or implied. We do not guarantee that the service will be uninterrupted or error-free.
8.2 No Guarantee of Results: The User acknowledges that the platform is a tool. Nortte Oy does not guarantee specific financial outcomes, marketing performance, or ROI.
8.3 Indirect Damages: Nortte Oy shall not be liable for any indirect, incidental, or consequential damages, including loss of profits, revenue, or data.
8.4 Liability Cap: Our total cumulative liability for any and all claims shall be limited to the total amount actually paid by the User to Nortte Oy during the six (6) months immediately preceding the event giving rise to the claim.
8.5 Third-Party Services: We are not liable for issues caused by third-party providers (e.g., Meta, Google, Stripe) or changes in their API policies.

9. Force Majeure

Nortte Oy shall not be liable for any delay or failure to perform resulting from causes outside its reasonable control, including but not limited to acts of God, war, terrorism, cyber-attacks (DDOS), or national infrastructure failures.

10. Amendments to Terms

Right to Modify: We reserve the right to modify these Terms at any time to reflect changes in law or our services.
Notification: We will notify Users of significant changes via email or platform notice at least fourteen (14) days before they take effect.
Acceptance: Continued use of the platform after revisions become effective constitutes agreement to the updated Terms.

11. Governing Law and Severability

Governing Law: These Terms are governed by the laws of Finland. Any disputes shall be settled in the District Court of Keski-Suomi (Jyväskylä).
Severability: If any part of these Terms is found to be invalid or unenforceable, the remaining parts remain in full force and effect.
